This addition not make the president model obsolete but provides the option to have 2 co-presidents to take shared responsibilities. Bold is the added full language:
51) Officers
The Officers of the Association, elected from among the members of the Board of Directors, shall consist of:
A President, or alternatively two (2) Co-Presidents, as determined by the Board of Directors;
A Vice-President;
A Secretary; and
A Treasurer.
The offices of Secretary and Treasurer may be held by the same person.
52) Election and Term of Office
The Officers shall be elected at the first meeting of the Board of Directors following each Annual General Meeting and shall remain in office until their successors are duly elected or appointed.
The Board of Directors shall determine annually whether the leadership of the Association shall be exercised by a President or under a Co-President model.
53) President and Co-President Model
Any member of the Board of Directors may nominate himself/herself or another member of the Board of Directors for election as President or Co-President, as applicable.
The Board of Directors may, by resolution, determine that the Association shall operate under a Co-President model where shared leadership is considered beneficial to the Association, including but not limited to periods of leadership transition, succession planning, organizational growth, expansion of activities, or other circumstances where the Board considers shared leadership advantageous.
Where a Co-President model is adopted, the Board of Directors shall elect two (2)
Co-Presidents by secret ballot from among its members.
Unless otherwise determined by the Board of Directors, the President shall serve as Chair of the Board of Directors. Where a Co-President model is in effect, the Co-Presidents shall jointly serve as Co-Chairs of the Board of Directors and shall jointly exercise the powers, duties, and responsibilities assigned to the President under these By-Laws.
The decision to adopt or continue a Co-President model shall be reviewed annually by the Board of Directors following each Annual General Meeting.
The President or Co-Presidents, as applicable, shall provide general leadership and oversight of the Association’s activities and shall perform such duties as may be assigned by the Board of Directors.
Where a Co-President model is in effect, the Co-Presidents shall work collaboratively and may allocate responsibilities between themselves in such manner as they deem appropriate.
The President or Co-Presidents shall serve for a term of one (1) year and may be re-elected for additional terms as determined by the Board of Directors.
54) Vice-President
The Board of Directors shall elect a Vice-President from among its members.
The Vice-President shall perform the duties of the President or, where a Co-President model is in effect, of a Co-President, in the event of illness, absence, incapacity, temporary inability to act, or upon request.
Where one Co-President is unable to perform his or her duties, the Vice-President shall
temporarily assume the responsibilities of that Co-President and shall serve alongside the remaining Co-President for the duration of such inability.
Where both Co-Presidents are unable to perform their duties, or where a sole President is unable to perform his or her duties, the Vice-President shall exercise the powers and perform the duties of the President until such time as the President or Co-President(s) resume their duties or until the Board of Directors determines otherwise.
55) Secretary and Treasurer
The Board of Directors shall elect from among its members a Secretary, who shall keep the minutes of meetings and perform such other duties as may be assigned by the Board of Directors.
The Board of Directors shall also elect from among its members a Treasurer, who shall be
responsible for financial oversight, maintenance of financial records, and such other duties as may be assigned by the Board of Directors.
A person elected as Treasurer must possess education and/or experience in commerce,
finance, accounting, or a related field.
If deemed appropriate by the Board of Directors, the same individual may serve simultaneously as both Secretary and Treasurer.
56) Temporary Secretary
If deemed necessary, the Board of Directors may appoint one of its members to serve as Acting Secretary on a temporary basis.
For the duration of such appointment, the Acting Secretary shall possess and exercise all
powers, duties, and responsibilities assigned to the Secretary under these By-Laws.
